Track Submission Terms
1. Introduction
1.1 This document sets forth an agreement (hereinafter referred to as the “License”) between you as an individual or person acting on behalf of a business entity (hereinafter referred to as the “Licensor”) and JGreen Moneytalkz.
1.2 A musical composition and recording with lyrical content (hereinafter referred to as “Track”) is to be used under the terms of this License for the purpose of permitting JGreen Moneytalkz with a non-exclusive, worldwide right to promote and distribute the Track on a music compilation, featuring works by various other artists (hereinafter referred to as “Mixtape”.)
1.3 This License is also referred to as “Additional Terms” in our General Terms of Service document. The terms in this License are to be used in accordance with our General Terms of Service and Privacy Policy.
1.4 License, General Terms of Service and Privacy Policy are hereinafter referred to collectively as “Terms”.
2. Licensor Rights and Agreements
2.1 You must be of 18 years or older to enter into this agreement with JGreen Moneytalkz. If you are under 18 years of age then you must have a legal parent or guardian submit the Track on your behalf.
2.2 Each Track that you submit is subject to a non-refundable administration fee of $100.00 USD.
2.3 As the Licensor you agree to grant JGreen Moneytalkz with a non-exclusive worldwide right to have the Track featured on a Mixtape compiled by JGreen Moneytalkz, and that the Mixtape containing your Track may be freely distributed and promoted by JGreen Moneytalkz, it parent company, affiliates, or subsidiaries.
2.4 Through this non-exclusive License the Licensor retains the right to sell, promote, or otherwise distribute the Track by any other means, in addition to the promotional service is offered by JGreen Moneytalkz.
2.5 You understand and agree that the Mixtape on which your track is featured may be promoted by any means, including but not limited to, radio, television, stores, events, websites and email promotions. You further agree that JGreen Moneytalkz reserves the right to choose which media outlet the Mixtape featuring your Track should be distributed.
2.6 All Mixtapes are strictly for promotional use only, and JGreen Moneytalkz will NOT sell any Mixtape that your Track is featured on. For this reason you agree that JGreen Moneytalkz will not be held liable or accountable to pay you any royalties, commissions, or other form of payment for distribution and promotion of your Track, regardless of number of total downloads.
2.7 It is the sole responsibility of you, the Licensor, to ensure that you are the legal owner or you have full legal rights, and that all copyright laws are adhered to before you submit the Track to JGreen Moneytalkz for the purpose of this License. You expressly acknowledge and agree that if any samples or other sounds used in the production of the Track are owned by another person or entity, then it is your
sole responsibility to have any such samples or other sounds cleared by their respective copyright owners, prior to submission of the Track to JGreen Moneytalkz.
2.8 JGreen Moneytalkz will not be held responsible or liable for failure on your part to comply with all copyright laws regarding the Track that you license to JGreen Moneytalkz under this agreement. You expressly understand and agree that you as a Licensor are solely accountable and liable for all consequences as result of copyright infringement regarding the Track.
2.9 You may choose the preferred Mixtape series on which you would like to have your Track featured. Although we offer this choice, we make no guarantee that your Track will feature on your preferred series. You agree that all Tracks are to be screened by employees of JGreen Moneytalkz who will have final judgment as to which Mixtape series your Track will be featured.
2.10 Figures stated anywhere on the JGreen Moneytalkz website regarding number of listeners or downloads are based on past performance. Actual download figures of a Mixtape on which your Track is featured may be more or less than any figures stated on the website. You expressly understand and agree that JGreen Moneytalkz cannot accurately predict the future), and, therefore, cannot make any promise or guarantee that a Mixtape series on which your Track is featured will be downloaded by any given number of users. It is always the choice of the individual user to download and listen to any such Mixtape.
2.11 JGreen Moneytalkz makes no claims as to the level of success you will achieve as a result of having your Track feature on one of our Mixtapes series. You acknowledge and agree that your level of success is wholly dependent on your part, and that JGreen Moneytalkz is not responsible for your level of success.
2.12 You understand and agree that if any person should duplicate and sell a Mixtape which features your Track, it is out of the control of JGreen Moneytalkz and that JGreen Moneytalkz is not responsible to take legal action against any such person on your behalf.
3. Starting this agreement
3.1 The terms of this License are in effect as soon as you make payment to JGreen Moneytalkz on our Track Submissions page.
3.2 As the Licensor, when you pay for the submission of your Track to JGreen Moneytalkz, you acknowledge and agree to all Terms in this License agreement including any rights granted to JGreen Moneytalkz, its parent company, affiliates, or subsidiaries.
4. Ending this agreement
4.1 The terms of this License may only be terminated by you, the Licensor, at any time prior to the release of a Mixtape on which your track is featured , otherwise the terms shall remain in effect indefinitely. To terminate the License agreement under the above circumstances please write to: JGreen Moneytalkz at PO Box 1214, Clifton Park, NY 12065.
4.2 JGreen Moneytalkz reserves the right to terminate this legal agreement with you at any time if:
a) JGreen Moneytalkz is required to do so by law; or
b) JGreen Moneytalkz is in transition to cease provision of Service to users in a country in which you are a resident or from a country which you use the Service; or
c) you are unable or unwilling to comply with the provision of the Terms and, therefore, are in breach of the provision of the Terms; or
d) the provision of Service to you is deemed to be no longer commercially viable by JGreen Moneytalkz.
